Dan is a partner in our Corporate M&A and ECM Group, specialising in corporate finance. He leads the US Securities Law Group, with a primary focus on equity capital markets and other fundraising transactions.

Corporate and capital markets expertise

Dan specialises in cross-border corporate finance transactions, providing US federal securities law advice primarily in connection with non-US companies, investment funds, and investment banks seeking to raise capital from US investors. Dan has advised on capital markets transactions across the globe including Europe, Russia, China, India and Africa.  

Extensive US coverage

Dan regularly advises on US tender-offer issues, as well as questions concerning US broker dealer rules, the Investment Company Act and the Investment Advisers Act.

CSR and pro bono work

Dan completed pro bono work for the Clinton Foundation. He has also worked with Le Don du Temps program in Paris, helping mentor students in Paris.

  • Zegona Communications on the £100.5 million placing in connection with its acquisition of additional shares in Euskaltel, a Spanish-listed telecommunications business.
  • Brewin Dolphin on its £60 million placing to fund the acquisition of Investec's wealth management business.
  • Assura plc on its oversubscribed £300 million firm placing, conditional placing and open offer and £10.7 million offer for subscription, led by Stifel and JP Morgan.
  • Numis and Investec on the £34 million placing by Alliance Pharma plc in connection with its acquisition from Janssen Pharmaceutica NV of the exclusive marketing rights to Nizoral.
  • Panmure Gordon and Numis on the proposed £61.4 million acquisition of the MeetingZone Group and connected £50.0 million placing by LoopUp Group.
  • Zeus Capital Limited, as financial adviser, broker, joint global co-ordinator and bookrunner, Numis Securities Limited, as joint global co-ordinator and bookrunner and Stockdale Securities Limited, as sponsor, to JTC PLC, on its £310 million Main Market IPO.
  • Investec Bank plc in its capacity as sponsor, financial adviser, bookrunner and broker on the £94 million placing and open offer by Sanne Group plc.
  • JAB Holdings B.V. (Bank of America Merrill Lynch as broker) on the accelerated bookbuild placement of 36 million shares in Reckitt Benckiser Group plc, for an aggregate value of approximately £1.2 billion.
  • Maxcyte's IPO on AIM (representing the first IPO of a US company on AIM utilising the new electronic settlement procedures relating to Regulation S, Category 3) and multiple follow-on fundraisings.
  • S4 Capital on its merger with MightyHive and on its acquisition of MediaMonks.
  • Carpetright plc on its company voluntary arrangement, debt refinancing, and £65 million placing and open offer, led by Peel Hunt and Deutsche Bank.
  • RBC Europe Limited as bookrunner on the £118.8 million placing by Greencoat UK Wind plc.
  • Peel Hunt and WG Partners on the cash placing by Oxford BioMedica.
  • Stifel Nicolaus Europe Limited as sole bookrunner and financial adviser on a placing, open offer and offer for subscription of £94 million of ordinary shares in Target Healthcare REIT Limited and a subsequent placing programme of up to 150 million ordinary shares in Target.
  • Polypipe Group plc on its £490 million Official List IPO (Deutsche Bank, Numis, and Canaccord as underwriters).
  • McColl's Retail Group in relation to its £200 million Official List IPO.
