Travers Smith advises S4Capital on the agreed merger of MightyHive with Orca Pacific

Overview

Travers Smith LLP has advised S4Capital plc on the agreed merger of its data and programmatic media practice, MightyHive, with Orca Pacific, a market leading full-service Amazon agency and boutique consultancy firm based out of Seattle.

Orca Pacific, founded in 2008 by John Ghiorso, helps top consumer brands optimise their customer journey and grow their Amazon business through a combination of expertise and industry-leading technology. The company employs over 40 former Amazonians and retail industry experts and partners with clients including Reebok, Uni-ball, OshKosh B'gosh, Godiva, Del Monte and Kenroy Home.

This is S4Capital's first merger since successfully raising £116m in an equity placement to fund its M&A strategy and the third since covid-19 hit hard, all of which Travers Smith has acted on, as S4Capital continues to expand its functional capabilities and geographical coverage, without prejudicing its balance sheet.

The Travers Smith team was led by partners, Aaron Stocks and Tom Coulter.

Loeb & Loeb advised on US law aspects of the merger.

Partner, Aaron Stocks, noted: "We are delighted to sign another transaction for S4Capital, allowing MightyHive to build on its existing partnership with Amazon and provide a full range of eCommerce and Marketplace services to S4Capital's clients."
