Travers Smith LLP has advised long-standing client Livingbridge and the management shareholders on the sale of a majority stake in Exclaimer, a leading provider of email signature management software, to Insight Partners, with participation from Farview Equity Partners.
Exclaimer has provided software solutions to over 40,000 customers since it was founded in 2001, and its cloud and on-premises email signature management solutions for Microsoft 365, Google Workspace, and Microsoft Exchange are used by business all over the world.
The transaction is expected to close by year end. Livingbridge will retain a minority stake in Exclaimer alongside Insight Partners and Farview Equity Partners, with the existing management team at Exclaimer remaining with the business.
The Travers Smith team was led by Private Equity & Financial Sponsors Partners Will Yates and James Renahan, with support from Senior Associate Tom Hartwright, Associates Alex Watt, Eve Dwyer, Natasha Cheung and Sam van Besouw, and Trainee Cy Sutherland. Specialist advice was provided by Tax Partners Russell Warren and Hannah Manning and Senior Associate Joseph Sheldrick.
Travers Smith was supported by Choate, Hall & Stewart LLP on matters of US law, and Houthoff Coöperatief U.A. on matters of Dutch law.
Arma Partners acted as financial advisers to Exclaimer, with Willkie, Farr & Gallagher (UK) LLP acting as legal advisers to Insight Partners.
