Travers Smith advises Lifezone Metals on its deSPAC combination with GoGreen Investments

Overview

Travers Smith has advised Lifezone Metals (NSYE: LZM), a modern metals company creating value across the battery metals supply chain from resource to metals production and recycling, on its deSPAC combination with GoGreen Investments.

Lifezone Metals' mission is to provide commercial access to proprietary technology and cleaner metals production through a scalable platform underpinned by its tailored hydromet technology. This technology has the potential to be a cleaner and lower cost alternative to smelting, allowing Lifezone Metals to responsibly and cost-effectively provide cleaner metals. By pairing its Kabanga Project in Tanzania, which Lifezone Metals believes is one of the largest and highest-grade undeveloped nickel sulphide deposits in the world, with its proprietary hydromet technology, it will work to unlock the value of a key new source of supply to global battery metals markets.

The transaction creates the first pure-play nickel resource and cleaner technology company listed on the New York Stock Exchange.

The Travers Smith team was led by Corporate Partner Tom Coulter, with support from Corporate Senior Counsel Aisling Arthur and Corporate Senior Associate Fabian McNeilly. Tax advice was provided by Head of Tax Russ Warren, Senior Counsel Elissavet Grout, Senior Associate Siv Devakumar and Associate Jessica Baker, Commercial, IP & Technology advice was provided by Senior Counsel Michael Cuthbertson, and Operational Risk & Environment advice was provided by Head of Risk & Operational Regulatory Doug Bryden and Senior Counsel John Buttanshaw.

Corporate Partner Tom Coulter noted: "We are delighted to advise long-standing client, Lifezone Metals, on another significant transaction. The company is developing what it believes will be one of the cleanest, most socially responsible nickel production facilities in the world and its proprietary technology has the potential to significantly lower the cost, as well as the environmental and climate footprint, of mineral processing. It was great to be at the NYSE with the Lifezone Metals team to celebrate such a momentous day."
