Travers Smith LLP has advised longstanding client and leading mid-market private equity firm, Inflexion, and other selling shareholders on the £535m sale of Marley Group, the leading UK manufacturer of pitched roof systems to the construction market, to FTSE250 listed Marshalls plc.
Corporate Partners Richard Spedding and Will Yates led a cross-departmental team, together with Senior Counsel Joanna Roberts, and Senior Associates James Addison and Becky Dove.
The transaction is subject to the approval of the shareholders of Marshalls plc.
Travers Smith advised Inflexion on its original investment in Marley Group in August 2019, by way a carve-out of Marley Group from Etex, a Belgium based building materials firm.
During Inflexion’s stewardship, Marley Group was established as a standalone business, with Inflexion’s Digital team driving the transition to a standalone IT system. Significant investment was also made into new product development, including the introduction of a new tile line, and Inflexion’s Commercial team worked with management to optimise Marley Group’s pricing strategy. In partnership with the management team this helped Marley Group’s underlying EBITDA to almost double since Inflexion’s investment.
