Travers Smith LLP has advised S4 Capital on its merger with MightyHive, a market-leading programmatic solutions provider for future thinking marketers and agencies, for an enterprise value of US$150 million. The merger will be funded 50% with shares in S4 Capital plc listed on the London Stock Exchange and 50% with cash from a major share issue to new and existing investors.
MightyHive is recognised as a global leader in advanced marketing and advertising technologies and provides consulting and services in the areas of media operation and training, data strategy, and analytics.
Following S4 Capital's acquisition of award-winning media production company MediaMonks earlier this year, the complementary capabilities of Media Monks and MightyHive will allow the two to explore integrated solutions that can enhance their ability to service clients in the new media landscape.
The Travers Smith team was led by Corporate Partner Aaron Stocks, with support from US Securities Partner Dan McNamee, and Associates Bertie Radcliffe, Sami Osman and Victoria Robinson. The team worked with Loeb & Loeb Partner Chris Kelly and Senior Counsel Ann Chen in California on the merger aspects.
