Travers Smith has advised Safestore Holdings plc, a long-standing client and one of Europe's largest owners and operators of self-storage with properties in the UK, France, Netherlands, Spain and Belgium, on its 50/50 joint venture with Nuveen, a leading global asset manager, to acquire Easybox, Italy's second largest self-storage operator by number of stores, for €175m.

Travers Smith has advised Duni AB (Duni Group), Sweden-headquartered market-leading company in providing sustainable and circular solutions for restaurants, catering, and the food industry, on the acquisition of the UK-based tableware company Poppies Europe Ltd (Poppies). The acquisition is subject to regulatory approval in the UK and customary closing conditions, and is expected to be completed in the first half of 2025.

National Security & Investment Act: UK Government wins first challenge to divestment order

The first ever judgment on the UK Government's application of the National Security and Investment Act 2021 ('NSIA') has been handed down. With a focus on the procedural aspects of the review, the High Court upheld the Government's decision to require LetterOne (ultimately owned by Russian nationals, including individuals subject to UK sanctions) to divest the entirety of its shareholding in Upp, a fibre broadband start-up.

Travers Smith has advised Indicor Equity, LLC, (Indicor) a leading diversified industrial solutions company specialising in mission-critical technologies for industrial manufacturers on its subsidiary Indicor International Holdings, Inc.'s proposed acquisition of Laurel U.S. Holding Company LLC, which owns Ovarro, a global leader in advanced technology solutions for critical infrastructure, specialising in water management and process control systems.

Half-Year UK Public M&A Update

Despite continued global economic and geopolitical uncertainty, and with the UK general election today, H1 2024 has seen improved levels of public M&A activity in the UK. There was a total of 30 firm offers announced in H1 2024 for UK public companies listed on the Main Market or AIM (25 in H1 2023). A further 10 public companies are currently subject to a 28-day put up or shut up (PUSU) period, and there have been six formal sale processes.
