Overview

Servicing the needs of our asset management clients is at the core of our firm and they benefit from having a specialist team of tax lawyers by their side who advise them on all tax aspects of asset management and investment funds.

The range of our services includes:

  • Investment fund structuring and formation: We advise asset managers on investment fund structuring and formation (both listed and unlisted) across the alternative asset classes. We deliver joined-up thinking that brings together the tax, regulatory and commercial issues in order to decide on the optimum fund structure.
  • Asset manager advisory: We are privileged to count many of the world’s largest asset managers as our clients (as well as smaller and first-time managers). They instruct us on their most critical and complex issues which affect their own businesses. Our advice is wide-ranging, from structuring carried interest and co-investment through to advising on VAT, group restructurings, tax reporting and tax enquiries. They trust us to guide them through the ever-changing tax landscape.

  • Tax disputes: We provide reassuring support when tax disputes arise. Tax authorities are increasingly assertive in pursuing taxpayers and challenging their tax affairs and this more vigorous approach applies to fund managers too. We work with our clients to avoid costly and lengthy tax disputes and involving us at an early stage may mean that the impact of a potential challenge can be mitigated.

  • Acting for investors: Investing in funds can give rise to complex tax issues even where an investor is largely tax exempt. We act for some of the UK’s largest pension funds as well as fund of funds, sovereign wealth funds and family offices as they invest into alternative asset classes or buy and sell fund interests in the secondary market.
